Terms of Service

Effective from 8 September 2026. Karmat Engineering Limited (RC 9831147) trades as Vendstruct.

The short version. We give you software to run your shop. You own your catalogue, your customers and your orders. Your shoppers pay you directly and we take no cut of your sales, only the subscription. Sell lawfully, look after your staff accounts, and we will keep the lights on. Nothing you create is deleted when a plan ends.

1.Who we are, and who these terms are for

Vendstruct is operated by Karmat Engineering Limited (RC 9831147), a company registered in Nigeria with its registered office at Lagos, Nigeria. In these terms “we”, “us” and “Vendstruct” mean that company, and “you” means the business that opens an account with us.

These terms cover the businesses that use Vendstruct to run a store. They are not the terms between a shop and its own shoppers. If you bought something from a store hosted on vendstruct.com, your contract is with that business, and their own terms, returns policy and contact details are on their site.

By opening an account, or by using a store you have been invited to as staff, you agree to these terms. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.

2.What Vendstruct provides

We give you software to run an online store: a catalogue, a storefront at {your business}.vendstruct.com or your own connected domain, a checkout, order and customer records, staff accounts with roles, and an audit log of what everyone did.

We host that software and keep it running. We do not sell your goods, hold your stock, deliver anything, handle your customers' payments, or act as a party to any sale you make. You are the seller in every transaction on your store, and you are responsible for the goods, the prices, the delivery and the customer service behind them.

3.Your account and your team

You need a verified email address to open a store. Keep the details on your account accurate, and keep your password to yourself. You must be at least 18 years old.

You can invite staff and give each of them one of four roles: admin, store manager, sales personnel or logistics. Every role is enforced on our servers rather than merely hidden in a menu, but the choice of who gets which role is yours. You are responsible for what your staff do in your store, for removing people who leave, and for the consequences of an account you failed to revoke.

Tell us promptly if you believe an account has been compromised. We may suspend access to protect a store while we look into it.

4.Your store address

While your account is open we license you the subdomain you chose, for use as your store address. It remains part of a domain we own. We may reclaim an address that infringes somebody else's rights, impersonates another business, or is being used in breach of these terms.

Some addresses are reserved and cannot be registered. You may also connect a domain you own; keeping that domain registered, paid for and correctly pointed at us is your responsibility.

5.Plans, trials and payment

Every new store gets 14 days of Basic free. The store is fully open during the trial and nothing is held back. When the trial ends, a paid plan is needed for your allowances to keep growing with you.

Plans are priced in naira and stated on the pricing page. Basic starts at ₦6,500 a month. A yearly plan is charged at ten months, so a year committed is two months free. While a promotional offer is shown on the pricing page, its price applies to any plan chosen during it, and a period already paid for keeps the price it was paid at. Prices exclude any tax we are required to charge, which we will add where it applies.

A change of plan raises an invoice. The new plan starts only when that invoice is paid, so nothing you click here commits you until money actually moves. Payment is by card or bank transfer through Paystack; where card payment is not available we raise an invoice you settle by transfer and activate the plan once it lands.

We do not store your card or charge it automatically. A period does not renew itself: when one ends, a fresh payment starts the next.

6.If a plan ends or is not renewed

Your storefront stays up and nothing you created is deleted. The store falls back to Basic allowances, and your billing page says plainly what is owed. Renew and your full allowance comes straight back.

Moving down to a smaller plan does not delete anything either, but the smaller ceilings apply from the next thing you try to add. We warn you before the change if your catalogue or your team is already above them.

7.Refunds

Charges are for a period that has already begun and are not refundable in part. If you cancel, your plan runs to the end of the period you paid for and simply does not continue after it.

The 14 day trial exists so you can decide before paying anything. If we have charged you in error, or a payment was taken twice, tell us and we will put it right.

8.Money from your customers

Your customers pay you directly. The bank details shown at your checkout are yours, not ours. We never hold, route or take a commission on the money your shoppers pay you, and we charge nothing but the subscription.

Because we are not in that payment chain, we are not a payment service provider, an escrow agent, or a party to any dispute between you and a shopper. Refunding a customer, settling a chargeback, honouring a warranty and issuing receipts are all yours to do.

You are responsible for your own tax obligations on what you sell, and for any licence or registration your trade requires.

9.What you may not do

You may not use Vendstruct to:

  • sell anything you are not legally allowed to sell in Nigeria, or that requires a licence you do not hold, including drugs, weapons, live animals, stolen goods and counterfeit items
  • sell goods or use images, names or branding that infringe someone else's intellectual property
  • defraud your customers, misdescribe what you are selling, or advertise a price you do not intend to honour
  • publish content that is unlawful, hateful, obscene, or that targets a private individual
  • collect payment for goods you have no intention or ability to supply
  • upload malware, attempt to reach another store's data, probe or attack our systems, or work around the limits of your plan
  • resell or white label the platform itself as though it were your own product, or copy it
  • send bulk unsolicited email through us, or use our sending domain for anything other than your own store's transactional mail
  • place a load on the service that damages it for other stores

We may remove content or suspend a store that breaches this section, and we will tell you why unless the law prevents us.

10.Your content, and the licence you give us

Your catalogue, your logo, your copy, your customer records and your orders remain yours. We claim no ownership of them.

You give us the permission we need to actually run the service: to store your content, process it, back it up, and display it to your shoppers and your staff. That permission exists only to operate Vendstruct for you, and it ends when you delete the content or close your store.

You confirm you have the right to everything you upload, including product photographs, and that showing it to the public breaks no one else's rights.

11.Our intellectual property

The Vendstruct software, its name, its wordmark and its design remain ours. Your subscription buys the right to use the service, not a copy of it. Do not copy, decompile or create a competing product from it.

12.Availability, support and changes

We work to keep Vendstruct available and quick, but we do not promise uninterrupted service. Maintenance, a failure at a provider we depend on, or something outside our control can all interrupt it. We do not offer a contractual uptime guarantee.

Support is by email at support@vendstruct.com, and by phone on 0907 319 4900 during business hours. Plus subscribers get priority support with a named contact.

We improve the product continuously and features may change. If we withdraw something you rely on, or materially reduce what your plan covers, we will tell you in advance and you may cancel.

13.Closing a store, and suspension

You can close a store from your console at any time. It goes offline for your customers immediately, but nothing is destroyed: it sits in your recycle bin for 30 days and can be reopened exactly as it was, products, orders, team and all. After that it is deleted permanently and cannot be recovered.

We may suspend or close a store that breaches these terms, that is being used unlawfully, that puts other stores at risk, or whose invoices have gone unpaid after we have asked. We give notice and a chance to put things right where the circumstances allow it.

Export anything you want to keep before you close a store. Sales analytics and CSV export are available on Pro and Plus.

14.Warranties and liability

The service is provided as it is. Beyond what this agreement says, and to the extent the law allows, we give no other warranties, express or implied, including any that the service will be uninterrupted, error free, or fit for a particular purpose.

Nothing here limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.

Otherwise, neither of us is liable to the other for lost profits, lost sales, lost goodwill, or indirect or consequential loss. Our total liability to you for all claims in any twelve month period is limited to the subscription fees you paid us in the twelve months before the claim arose.

You are responsible for keeping your own copies of anything you cannot afford to lose. We take backups, but they are our operational safeguard rather than a backup service we provide to you.

15.Indemnity

You will cover us against claims, losses and reasonable costs arising from what you sell, the content you publish, your breach of these terms, or your breach of the law, including a claim brought by one of your own customers or by someone whose rights your content infringes.

16.Changes to these terms

We may update these terms as the product and the law change. The effective date at the top of this page always tells you which version is current. For a change that materially affects your rights we will give reasonable notice by email or in your console before it takes effect, and continuing to use Vendstruct after that means you accept it.

17.Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. The courts of Lagos State, Nigeria have exclusive jurisdiction over any dispute.

Before going to court, please write to us at legal@vendstruct.com so we can try to resolve it. Most things are settled far more quickly that way.

If any part of these terms is found unenforceable, the rest continues to apply. Our not enforcing something straight away does not mean we have given it up. These terms, together with the Privacy Policy and the plan you are on, are the whole agreement between us.
